1. INTRODUCTION AND APPLICATION
These terms and conditions of sale (these "Terms") govern the sale of materials by Breeze Block Canada ("Breeze Block") to the customer named on the applicable quotation, order acknowledgement or invoice ("Customer").
These Terms apply to all sales to dealers, distributors, contractors, specifiers, and other commercial purchasers. Sales to consumers through breezeblock.ca are governed separately by the Terms of Service published on that website.
Placing an order constitutes acceptance of these Terms.
2. PRICES
2.1 All prices are quoted in Canadian dollars and are exclusive of applicable taxes and freight.
2.2 Published prices are subject to change without notice. Written quotations are valid for 30 days from the date of issue unless stated otherwise.
2.3 Breeze Block will provide 60 days' written notice to accounts in good standing before implementing an increase to dealer pricing. Orders acknowledged prior to the effective date of an increase will be honoured at the acknowledged price provided they ship within 90 days of acknowledgement.
2.4 Prices are based on the currency exchange rate and landed cost in effect at the time of quotation. Breeze Block reserves the right to adjust pricing on unshipped orders where currency movement, tariff changes, or freight cost increases exceed 10% from the date of quotation.
3. ORDERING PROCESS
3.1 Customer confirms current stock availability and pricing with Breeze Block prior to ordering.
3.2 Customer submits a written purchase order by email to info@breezeblock.ca. Breeze Block does not accept verbal orders. Email requests without an attached or clearly formatted purchase order will not be processed.
3.3 Each purchase order must include:
- Customer company name and billing address
- Ship-to address, including site contact name and telephone number
- Purchase order number
- Product profile name, colour, and item number
- Quantity and unit of measure
- Unit price and extended price
- Requested ship date
- Delivery site access details (see clause 6.5)
- Payment terms
3.4 Breeze Block will process the purchase order and issue a written order acknowledgement within 2 business days.
3.5 An order is not valid, and no commitment to supply exists, until Breeze Block has issued a written order acknowledgement. Customer is responsible for reviewing the acknowledgement for accuracy and notifying Breeze Block of any discrepancy within 2 business days of receipt.
3.6 Stock is allocated to an order upon issuance of the order acknowledgement, on a first-acknowledged basis. Published or quoted availability does not reserve stock.
3.7 Orders ship complete. Where an order contains both in-stock and backordered items, Breeze Block will hold the full order until all items are available. This is to ensure that material supplied against a single order originates from a single production batch (see clause 14.1).
3.8 Customer may request partial shipment in writing. Partial shipment may result in material from more than one production batch being supplied against a single order. Where Customer requests partial shipment, Customer accepts the risk of batch variation and clause 14.1 applies in full. Additional freight charges apply to each shipment.
3.9 Breeze Block will not substitute a profile, colour, or dimension without Customer's prior written approval.
4. MINIMUM ORDERS
4.1 The minimum order value for dealer and distributor accounts is $800 before taxes and freight.
5. SPECIAL ORDERS AND DEPOSITS
5.1 Any order for product not held in Breeze Block's Canadian inventory, or which exceeds normal stock levels, is a Special Order.
5.2 Special Orders are manufactured to order overseas and require a 50% non-refundable deposit at the time of order placement, with the balance due prior to shipment from Breeze Block's facility.
5.3 Special Orders may not be cancelled, exchanged, or returned for any reason once the deposit has been received and the order placed with the manufacturer.

6. SHIPPING, TITLE AND RISK
6.1 All shipments are quoted FOB origin — Breeze Block's facilities, Kamloops, British Columbia unless expressly agreed otherwise in writing.
6.2 Title and risk of loss pass to Customer upon pickup by the freight carrier at Breeze Block's facility. Breeze Block is not responsible for loss or damage occurring in transit.
6.3 Freight is prepaid and added to the invoice unless Customer specifies its own carrier and account.
6.4 Freight quotations are estimates based on information supplied by Customer. Additional charges levied by the carrier — including but not limited to residential delivery, limited access, redelivery, detention, liftgate service, and storage — are the responsibility of Customer.
6.5 Customer is responsible for confirming that the delivery site can receive the shipment. Breeze Block products are shipped on pallets and require a forklift or other mechanical unloading equipment. Customer must advise at the time of order if the site lacks unloading capability so that liftgate service can be quoted. Charges arising from failed or refused delivery are the responsibility of Customer.
7. DELIVERY ESTIMATES AND DELAYS
7.1 Ship dates and delivery dates are estimates only and are not valid grounds for claims, cancellation, damages, or set-off.
7.2 Breeze Block is not responsible for delays arising from causes beyond its reasonable control, including but not limited to: manufacturing delays at origin, vessel schedules and port congestion, customs examination or clearance delays, tariff or regulatory changes, carrier schedules, labour disputes, weather, wildfire, road closures, and acts of government.
7.3 Customer acknowledges that product is imported and that transit and clearance timelines are inherently variable. Customer should not schedule installation or commit to project deadlines on the basis of an estimated arrival date.
8. PAYMENT TERMS
8.1 For accounts without an approved line of credit, payment is required in full prior to shipment by credit card, EFT, wire transfer, or certified cheque.
8.2 For accounts with an approved line of credit, terms are Net 30 days from date of shipment.
8.3 Customer has 30 days from the invoice date to report any discrepancy on an invoice. Invoices not disputed within that period are deemed accepted and payable in full.
8.4 Payment must be remitted to the address or account specified on the invoice.
9. CREDIT
9.1 Credit is extended at Breeze Block's sole discretion, following receipt and approval of a completed credit application and trade references.
9.2 Breeze Block may require an updated credit application at any time, and may modify, suspend, or withdraw credit at any time at its sole discretion.
9.3 Breeze Block may require a personal guarantee from a principal of Customer as a condition of extending credit.
10. LATE PAYMENT
10.1 Accounts not paid within terms are considered in default. A late charge of 5% of the overdue balance will be assessed 5 days after the due date.
10.2 Interest accrues on overdue balances at 1.5% per month (18% per annum, calculated and compounded monthly) from the due date until paid in full, both before and after judgment.
10.3 Customer is responsible for all costs of collection, including reasonable legal fees, court costs, and post-judgment interest.
10.4 Breeze Block may suspend shipments on any account in default, including shipments against orders already acknowledged.
11. TAXES
11.1 Prices are exclusive of GST, HST, PST, and QST. Applicable taxes will be added to the invoice.
11.2 Customer is responsible for providing valid exemption or resale documentation where applicable.
12. STORAGE AND HOLDS
12.1 Breeze Block will hold quoted material for 5 business days pending receipt of a written purchase order, after which the material is automatically released to general inventory.
12.2 Customer has 30 days from the date Breeze Block notifies Customer that ordered material is available (the "Availability Date") to take delivery or authorize shipment.
12.3 Material not collected or shipped within 30 days of the Availability Date may incur storage charges of $50 per pallet per month.
12.4 Breeze Block retains a general lien on material in its possession for any sums owed by Customer. Where material remains uncollected more than 60 days after the Availability Date, Breeze Block may sell the material and apply the proceeds against amounts owing, returning any balance to Customer without interest.
13. INSPECTION AND CLAIMS
13.1 Customer must inspect all material upon delivery, in the presence of the carrier, before signing the delivery receipt.
13.2 Customer must:
- Inspect the pallet for external damage and evidence of crushing or stacking in transit
- Note any damage, shortage, or discrepancy on the driver's paperwork before signing
- Photograph any damage at the time of delivery
- Retain all original packaging from damaged material for carrier inspection
13.3 Customer must not sign a clean delivery receipt for a shipment showing visible damage. A clean signed receipt is conclusive evidence that the shipment was received in good order, and no claim will be considered.
13.4 Damage, shortage, and discrepancy claims must be reported to Breeze Block in writing, with photographs, within 5 business days of delivery and in all cases before installation, cutting, or modification of the material.
13.5 Customer must verify quantity, profile, colour, dimension, and finish on receipt. Claims relating to these matters will not be considered after installation has commenced.
14. PRODUCT CHARACTERISTICS AND VARIATION
14.1 Breeze Block products are manufactured concrete masonry units. Variation in colour tone, surface texture, and minor dimensional tolerance between production batches is inherent to concrete products and is not a defect. Such variation is not valid grounds for a claim, return, or refund.
14.2 Samples, showroom displays, and photographic representations indicate general appearance only. Delivered product will vary.
14.3 Customer should order all material required for a project in a single order. Breeze Block cannot guarantee that material supplied from a subsequent production batch will match material previously supplied.
14.4 Efflorescence — the migration of soluble salts to the surface of concrete — is a natural characteristic of cementitious products, is typically temporary, and is not a manufacturing defect.
14.5 Breeze Block products are manufactured to and tested against Vietnamese National Technical Standard TCVN 6477:2016 (concrete bricks), under third-party Mode 5 certification by an accredited conformity assessment body. Water absorption is determined to TCVN 6355-4:2009 and mix compressive strength to TCVN 3121-11:2022. Current certificates and test reports are available on request.
14.6 Published technical data represents tested production and does not constitute a warranty as to the properties of any individual unit supplied. Test results are valid only for the samples tested.
14.7 Unit compressive strength determined under TCVN 6477:2016 is measured over gross area and is not interchangeable with the compressive strength of the concrete mix determined under TCVN 3121-11:2022. The two figures measure different things and must not be substituted for one another.
14.8 Technical data describes product as manufactured and delivered. It does not constitute a representation as to the performance of any installed assembly.
15. QUANTITY AND OVERAGE
15.1 Customer must order a minimum of 10% more material than the calculated coverage requirement to allow for cuts, breakage, handling loss, and future repair.
15.2 Breeze Block's published coverage figures and calculators are provided as a convenience. Determination of the correct quantity for any project is the sole responsibility of Customer, its specifier, and its installer.
16. SITE STORAGE PRIOR TO INSTALLATION
16.1 Material must be kept dry from the time of delivery until installation — stored under cover, off the ground, and protected from ground moisture and precipitation.
16.2 Product stored in contact with the ground, exposed to standing water, or subjected to freeze-thaw cycling prior to installation and sealing is excluded from warranty.
17. INSTALLATION
17.1 Breeze Block is not a contractor and does not perform or arrange installation.
17.2 Customer must dry-stack a representative section of material prior to mortaring to confirm colour, dimension, and pattern alignment. Claims relating to appearance, colour, or dimension will not be accepted after installation has commenced.
17.3 Breeze Block's published installation guide is a general recommendation only. It is not a complete step-by-step specification and does not substitute for the judgement of a qualified installer, the requirements of the applicable building code, or the direction of the project's designer of record.
17.4 Selection of a competent installer is the sole responsibility of Customer. Installers should refer to current industry standards for masonry construction and to the requirements of the authority having jurisdiction.
17.5 Neither Breeze Block nor the manufacturer bears any responsibility for property damage or personal injury arising from or related to installation. Customer assumes all risk of loss or damage in connection with the installation and use of the product.
18. STRUCTURAL APPLICATIONS AND CODE COMPLIANCE
18.1 Breeze Block products are decorative concrete screen units. They are not supplied as, and must not be used as, load-bearing structural masonry.
18.2 Compliance with all applicable building codes, municipal by-laws, zoning requirements, and professional legislation is the sole responsibility of Customer, the end purchaser, and the project's designer of record. Requirements vary by jurisdiction and may include permits, height restrictions, setbacks, and engineered design.
18.3 Design of the assembly — including foundation and footing design, reinforcement, grouting, lateral bracing, movement joints, and anchorage — is the sole responsibility of the project's designer of record.
18.4 Breeze Block supplies material only. Breeze Block does not provide engineering or design services, does not review or approve project designs, and accepts no responsibility for the adequacy, code compliance, or performance of any installed assembly.
18.5 Any technical guidance, detail drawing, or recommendation provided by Breeze Block is general information only, is not project-specific, and must be independently verified by the designer of record.
19. EXTERIOR AND COLD CLIMATE INSTALLATIONS
19.1 Product installed in exterior applications in freeze-thaw climates must be sealed with a penetrating silane/siloxane sealer in accordance with Breeze Block's published installation guide and the sealer manufacturer's instructions, prior to exposure to a freeze-thaw cycle.
19.2 Assemblies must be detailed to prevent water accumulation and saturation, including appropriate cap detailing, drainage, and flashing.
19.3 Warranty does not apply to product that has not been sealed as specified, or to assemblies that permit water accumulation.
19.4 Resealing at intervals recommended by the sealer manufacturer is a maintenance obligation of the owner and is not covered by warranty.
20. WARRANTY
20.1 Breeze Block warrants that product supplied will be free from material manufacturing defect at the time of delivery and will conform to the published technical specification for the applicable profile.
20.2 Any warranty claim must be made before installation. Product showing a defect on unpacking and inspection will be replaced. No claim will be accepted for material that has been cut, modified, or installed.
20.3 Replacement of defective material is Breeze Block's sole obligation and Customer's sole remedy.
20.4 No warranty is given against crazing, chipping, spalling, staining, or breakage in normal use, or against damage arising from impact, settlement, ground movement, de-icing salts, improper installation, or inadequate maintenance.
20.5 Except as expressly set out in this clause 20, Breeze Block makes no warranties or representations of any kind, express or implied, including any implied warranty of merchantability or fitness for a particular purpose.
21. LIMITATION OF LIABILITY
21.1 Breeze Block's total liability arising out of or relating to any product supplied, on any basis whatsoever, shall not exceed the purchase price paid by Customer for the specific product giving rise to the claim.
21.2 Breeze Block shall have no liability for indirect, incidental, consequential, special, or punitive damages, including without limitation lost profits, lost revenue, project delay, demolition or removal costs, replacement of adjacent finishes, or the cost of labour associated with removal or reinstallation.
22. INDEMNITY
22.1 Customer shall indemnify and hold harmless Breeze Block from any claim, action, liability, loss, damage, or expense — including reasonable legal fees — arising out of or relating to the installation, use, resale, or specification of the product by Customer or by any party to whom Customer supplies the product, except to the extent arising from a breach of Breeze Block's express warranty under clause 20.
23. RETURNS
23.1 All returns must be pre-authorized. No return will be accepted without a Return Authorization ("RA") number.
23.2 Returns will not be accepted more than 30 days from the invoice date.
23.3 A 20% restocking fee applies to all authorized returns.
23.4 Returned material must be in resalable condition with original packaging intact and undamaged. Material arriving back at Breeze Block damaged will not be credited.
23.5 Returns must be shipped freight prepaid by Customer. Freight-collect returns will be refused.
23.6 Special Orders, custom colours, and custom profiles are non-returnable and non-refundable under any circumstances.
23.7 Breeze Block determines final credit upon receipt and inspection of returned material.
24. RETURN AUTHORIZATION PROCESS
24.1 Customer emails info@breezeblock.ca requesting a return authorization, stating the invoice number, product, quantity, and reason for return.
24.2 Breeze Block will issue or decline an RA in writing within 2 business days.
24.3 If issued, Customer must include a copy of the RA form with the returned material and mark the RA number clearly on all shipping documents.
24.4 Material must be received by Breeze Block within 10 days of RA issuance. Breeze Block may cancel the RA and refuse the return thereafter.
25. RESALE, PRICING AND CHANNEL
25.1 Customer may resell Breeze Block product only through the physical showroom locations and sales channels identified in Customer's dealer agreement or otherwise agreed in writing.
25.2 Customer may not list, advertise, or offer Breeze Block product for sale on any third-party online marketplace, auction site, or e-commerce platform without prior written authorization from Breeze Block.
25.3 Customer may not remove, alter, or obscure Breeze Block branding, packaging, or documentation.
25.4 Customer may not repackage or resell Breeze Block product under another brand without written authorization.
26. TRADEMARKS AND MARKETING MATERIALS
26.1 Breeze Block grants Customer a non-exclusive, revocable licence to use Breeze Block's name, trademarks, product photography, and marketing materials solely for the purpose of promoting and selling Breeze Block product.
26.2 This licence terminates automatically on termination of the trading relationship.
26.3 Customer may not modify Breeze Block's technical documentation, specification sheets, or installation guide, or represent modified material as originating from Breeze Block.
27. ENTIRE AGREEMENT AND CONFLICTING TERMS
27.1 These Terms set out the entire agreement between the parties with respect to the sale of goods by Breeze Block, and supersede all prior understandings, promises, and agreements on that subject.
27.2 Breeze Block expressly rejects any additional, supplemental, or contradictory terms or conditions contained in Customer's purchase order, acknowledgement, invoice, portal, or other document, whether or not Breeze Block has notice of them. Acceptance of any order is expressly limited to these Terms.
27.3 Where Customer has executed a separate written dealer or distribution agreement with Breeze Block, that agreement supplements these Terms. In the event of conflict, the executed agreement governs.
28. GOVERNING LAW
28.1 These Terms are governed by the laws of the Province of British Columbia and the laws of Canada applicable therein.
28.2 The parties attorn to the exclusive jurisdiction of the courts of British Columbia.
28.3 The United Nations Convention on Contracts for the International Sale of Goods does not apply.
29. CHANGES TO THESE TERMS
29.1 These Terms may be amended at any time. The version in effect at the date of order acknowledgement governs that order.
